These Terms of Service (“Terms”) govern your use of terminalagency.com and its subdomains (the “Website”) and of any software we make available, including Preflight, Dispatch, and Load Sheet (the “Software”). The Website and Software are provided by TERMINAL, a DBA of 20/20 Studio LLC, an Oregon limited liability company (“TERMINAL”, “we”, “us”, or “our”).
By using the Website, downloading or installing the Software, or buying a license, you agree to these Terms. If you are accepting these Terms for a company or other organization, you confirm that you have authority to bind it, and “you” includes that organization. If you do not agree, do not use the Website or the Software.
1. Definitions
- Paid Software means Software that requires a purchased license to unlock its full features, such as Preflight.
- Free Software means Software we offer at no charge, such as Dispatch and Load Sheet, and the free tier of any Paid Software.
- License Key means the key we issue to you after purchase to activate Paid Software.
- Machine means a single computer, physical or virtual, on which the Software is installed and activated.
2. Purchases and our reseller, Paddle
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
When you buy Paid Software, your purchase contract is with Paddle, and Paddle’s Buyer Terms apply to the payment. Paddle calculates and collects any sales tax, VAT, or GST that applies in your location, issues your invoice or receipt, and processes refunds under our Refund Policy. Your use of the Software itself is governed by these Terms.
Prices are shown on the Website in US dollars. Taxes may be added at checkout depending on where you are. We may change prices for future purchases at any time; a price change never affects a license you have already bought.
3. Your license to Paid Software
When your payment is complete, we will email you a License Key. Subject to these Terms, we grant you a perpetual, non-exclusive, non-transferable license to install and use the Paid Software, as follows:
- One user. Each license is for use by one individual. An organization that wants several people to use the Paid Software needs one license per person.
- Up to two Machines. That individual may activate the Paid Software on up to two Machines at the same time.
- Perpetual. Your license does not expire and has no subscription or renewal fee.
- Every future update included. Your license covers all future updates and new versions of the product you bought, including major versions such as 2.0 and later, at no additional charge, for as long as we publish that product.
- Commercial use allowed. You may use the Paid Software for your own commercial and client work, except under an education license.
- Education licenses. A license bought with the education discount is for study and teaching only, by a student or educator with an education email address. It may not be used for paid client work.
A license covers one product. Buying Preflight does not give you a license to any other Paid Software we may release.
4. Activation, Machines, and offline use
- Activation. Paid Software is activated by entering your License Key, which registers the Machine with our licensing service. Activation requires an internet connection.
- Releasing a Machine. You can release a Machine yourself, in the Software or through your customer account, so you can activate a different one. You can make up to three releases in any 30-day period. If you need more releases than that, for example after a hardware failure, email us and we will help.
- Offline use. An activated Machine checks in with our licensing service from time to time. It can stay offline for up to 28 days. If a Machine has not checked in for more than 28 days, the Paid Software will run in its free tier until the Machine reconnects, at which point full features return automatically.
- Free tier. Paid Software that is not activated, or whose license has been refunded or revoked, keeps running with its free-tier features.
Do not attempt to bypass, disable, or tamper with activation, machine limits, or offline checks.
5. Free Software and beta versions
Free Software is provided to you at no charge under a non-exclusive, non-transferable license to install and use it on any number of Machines for personal or commercial work, subject to these Terms. We may change, limit, or discontinue Free Software or free-tier features at any time.
We sometimes offer early or beta versions of the Software, either as a public download, as with Dispatch, or on request at contact@terminalagency.com. Beta versions may be incomplete, may contain bugs, and may change or stop working without notice. Use them at your own risk and keep backups of your work.
6. Restrictions
Unless the law allows it despite this restriction, you may not:
- share, sell, rent, lend, sublicense, or publish your License Key, or let anyone else use your license;
- copy, modify, or create derivative works of the Software, other than making backup copies of the installer;
- reverse engineer, decompile, or disassemble the Software, or attempt to extract its source code;
- remove or alter any copyright, trademark, or other notices in the Software;
- circumvent license checks, Machine limits, or the free-tier restrictions; or
- use the Software or Website in a way that breaks any law or infringes anyone’s rights.
We may deactivate a License Key that we reasonably believe has been shared, resold, or obtained fraudulently. We will contact you first where we reasonably can.
7. Transfers
Licenses are personal and cannot be transferred without our written consent. If you need to move a license to a different person, for example when a team member leaves your company, email us and we will usually be happy to help.
8. Updates, support, and continuity
We publish updates through the Website, the Software’s own update notices, or the Trimble Extension Warehouse. We provide support by email at contact@terminalagency.com on a reasonable-efforts basis; we do not guarantee response times.
Preflight and Dispatch are built for SketchUp, a product of Trimble Inc., and Load Sheet works with Adobe Photoshop. We are not affiliated with Trimble or Adobe. Dispatch currently runs on macOS only, and it is not signed with a code-signing certificate, so SketchUp asks you to confirm before it installs. We cannot guarantee that the Software will work with every future version of SketchUp, Photoshop, or your operating system, although we aim to keep it compatible with current releases.
If we ever stop operating our licensing service, we will make reasonable efforts to release a final update that lets licensed customers keep using the Paid Software without needing to contact our servers.
9. Ownership
The Software, the Website, and their content, including our designs, text, images, project photography, and the TERMINAL name and logos, are owned by us or our licensors and are protected by intellectual property laws. Apart from the licenses in these Terms, we grant you no rights in them. Brand names and trademarks of our clients and partners shown on the Website belong to their owners and appear with their permission.
Your SketchUp models, drawings, and other files remain yours. The Software processes them on your Machine and does not upload their contents to us.
If you send us suggestions or feedback, we may use them without any obligation to you.
10. Using the Website
You may browse the Website and download files we offer on it for your own use. You may not scrape, copy, or republish substantial parts of the Website, interfere with its operation or security, or attempt to access accounts or systems you are not authorized to access. You are responsible for keeping your customer account and License Key secure.
11. Disclaimers
The Software and Website are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Software will be error-free or uninterrupted, or that its output will be accurate or complete. The Software is a design aid: you remain responsible for checking drawings, quantities, and any other output before relying on it for fabrication, construction, or pricing.
12. Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to the Software, the Website, or these Terms, even if we were told such damages were possible.
To the fullest extent permitted by law, our total liability for any claim arising out of or related to the Software, the Website, or these Terms is limited to the amount you paid for the license that the claim relates to in the 12 months before the claim arose, or US $50 if you paid nothing.
Some jurisdictions do not allow certain warranties to be excluded or liability to be limited, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, or any rights you have as a consumer that cannot be waived.
13. Termination
You may stop using the Software at any time. We may suspend or terminate your license if you materially breach these Terms and, where the breach can be fixed, you do not fix it within 14 days of our notice. When a license ends, you must stop using the Paid Software’s licensed features; the Software will return to its free tier. Sections 6, 9, 11, 12, 14, and 15 survive termination.
14. Governing law and disputes
These Terms are governed by the laws of the State of Oregon, USA, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Oregon, and you and we consent to their jurisdiction. If you are a consumer living outside the United States, you also keep the protection of the mandatory laws of your country of residence and may bring proceedings in your local courts.
Before starting any formal proceedings, please contact us so we can try to resolve the issue informally.
15. General
- Changes. We may update these Terms from time to time. We will post the new version on this page with a new “Last updated” date and, for material changes, notify license holders by email. Changes never reduce the license rights you already bought.
- Entire agreement. These Terms, together with our Refund Policy and Privacy Policy, are the entire agreement between you and us about the Software and Website.
- Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
- No waiver. Our failing to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
